H360 Solution Limited(Health360) (“Company”)

1. INTRODUCTION
This Engagement Agreement (“Agreement”) is made and entered into by and between H360 Solution Limited(HEALTH360), a telehealth/health management system that connects patients with medical professionals, and [ANY Medical Professional’s], a licensed healthcare provider, to set forth the terms and conditions under which the Medical Professional will offer healthcare services through the Health360 platform.
2. SCOPE OF ENGAGEMENT
The Medical Professional agrees to:
- Provide virtual healthcare consultations to patients via the Health360 platform.
- Comply with all professional, ethical, and legal standards governing medical practice.
- Maintain accurate and up-to-date medical records for each consultation.
- Abide by the Health360 Code of Conduct, privacy policies, and telemedicine best practices.
Health360 agrees to:
- Provide a secure and user-friendly platform for virtual consultations.
- Ensure compliance with all data protection laws to safeguard patient confidentiality.
- Facilitate appointment scheduling and billing services.
- Offer technical and operational support.
3. TERM AND TERMINATION
- This Agreement shall commence on the onboarding Date and continue indefinitely unless terminated by either party.
- Either party may terminate this Agreement with an e-request written notice.
- Health360 reserves the right to terminate this Agreement immediately in cases of professional misconduct, breach of contract, or violations of applicable medical regulations.
4. COMPENSATION & PAYMENT
- The Medical Professional will receive [ his/her fixed consultation fee] per consultation.
- Payments will be processed immediately upon fulfilling his/her mandate via [preferred payment method].
- Any applicable taxes shall be the responsibility of the Medical Professional.
5. COMPLIANCE & CONFIDENTIALITY
- The Medical Professional shall adhere to all Health360 compliance policies, including HIPAA (or relevant local regulations) for patient data protection.
- All patient information obtained through the platform must be kept confidential.
- The Medical Professional is prohibited from using patient data outside the scope of this Agreement.
6. LIABILITY & INDEMNIFICATION
- The Medical Professional shall maintain valid medical malpractice insurance (if required by law) and assume full responsibility for medical decisions and advice given through the platform.
- Health360 shall not be liable for any medical malpractice, negligence, or errors in professional judgment.
7. INTELLECTUAL PROPERTY
- Any content, educational material, or consultation notes provided on the platform remain the intellectual property of Health360.
- The Medical Professional is granted a non-exclusive, revocable license to use the platform solely for telehealth services.
8. NON-COMPETITION & NON-SOLICITATION
- The Medical Professional agrees not to engage in any direct competition with Health360 by providing similar telehealth services outside the platform.
- The Medical Professional shall not solicit Health360 patients for private consultations outside the platform.
9. DISPUTE RESOLUTION
- Any disputes arising from this Agreement shall be resolved amicably through negotiation.
- If a resolution cannot be reached, the matter shall be referred to arbitration in [jurisdiction].
10. GENERAL PROVISIONS
- This Agreement constitutes the entire understanding between the parties and supersedes any prior agreements.
- Any modifications must be in writing and agreed upon by both parties.
- This Agreement shall be governed by the laws of [jurisdiction].
