Confidentiality Agreement

AND
[Medical Professional’s] (“Medical Professional”)

Effective Date: 1/31/2025

1. INTRODUCTION

This Confidentiality Agreement (“Agreement”) is made and entered into by and between H360 Slotions Limited (“Health360”), a telehealth service provider/Telehealth Management System, and [Medical Professional’s] (“Medical Professional”), to ensure strict compliance with Health360’s Non-Disclosure Agreement (NDA) and data protection policies.

This Agreement outlines the confidentiality obligations of the Medical Professional in relation to sensitive patient information, Health360’s proprietary data, and other confidential materials accessed during service delivery.

2. DEFINITION OF CONFIDENTIAL INFORMATION

For the purposes of this Agreement, Confidential Information includes but is not limited to:

  • Patient Data: Medical records, personal health information, and any patient-related discussions.
  • Business Operations: Strategies, workflows, pricing models, revenue structures, marketing plans, and business methodologies.
  • Proprietary Technology: Platform algorithms, system architecture, software designs, and internal documentation.
  • Professional Communications: Emails, reports, analytics, and internal communications regarding Health360 operations.

Confidential Information does not include information that:

  1. Becomes publicly available without breach of this Agreement.
  2. Is received lawfully from a third party without confidentiality obligations.
  3. Is required by law or court order to be disclosed.

3. OBLIGATIONS OF THE MEDICAL PROFESSIONAL

The Medical Professional agrees to:

  • Maintain strict confidentiality regarding all patient data and proprietary information obtained through Health360.
  • Use Confidential Information solely for providing healthcare services on the Health360 platform.
  • Implement necessary security measures to protect patient data and Health360’s proprietary information.
  • Refrain from disclosing, copying, sharing, or exploiting any Confidential Information for personal or third-party gain.
  • Notify Health360 immediately in the event of an actual or suspected breach of confidentiality.

4. DATA PROTECTION & COMPLIANCE

  • The Medical Professional must comply with Health360’s NDA, privacy policies, and applicable data protection laws (e.g., HIPAA, GDPR, or relevant local laws).
  • Electronic patient data must be accessed only through Health360’s secure platform and must not be downloaded, copied, or stored externally.
  • Any consultation or interaction with patients must adhere to Health360’s professional conduct and data security standards.

5. NON-DISCLOSURE & NON-SOLICITATION

  • The Medical Professional shall not disclose Confidential Information to unauthorized individuals or third parties, including other healthcare platforms.
  • The Medical Professional shall not solicit Health360 patients for private consultations or refer them outside the platform.
  • Any breach of these provisions may result in legal action and immediate termination of platform access.

6. TERM & TERMINATION

  • This Agreement shall remain in effect for the duration of the Medical Professional’s engagement with Health360 and for two (2) years following termination.
  • Upon termination, the Medical Professional must return or destroy all Confidential Information obtained from Health360.

7. BREACH & CONSEQUENCES

In the event of a breach of confidentiality, Health360 reserves the right to:

  1. Immediately revoke platform access and terminate the Medical Professional’s engagement.
  2. Seek legal remedies including financial damages for harm caused by the breach.
  3. Report the breach to relevant medical boards or regulatory authorities for disciplinary action.

8. GOVERNING LAW & DISPUTE RESOLUTION

  • This Agreement shall be governed by the laws of [Jurisdiction].
  • Any disputes arising under this Agreement shall first be resolved through negotiation. If unresolved, disputes shall be referred to binding arbitration in [Jurisdiction].

This Agreement serves as a legally binding contract to protect Health360’s Confidential Information and ensure compliance with its NDA and data security policies. Failure to comply may result in legal action.
